Your subscription payment terms

It’s important you understand your payment obligations for this project.

Please read the payment option we discussed in our meeting that you want to proceed with.

Payments & schedule

  1.  Your upfront payment of £695+vat will be requested before your next meeting via GoCardless
  2. Your website rental payment will be £99+vat to be paid each month on the date of your first payment via GoCardless
  3. Your first rental payment will be requested 30 days after your website build date via GoCardless
  4. Your website will aim to be completed within 30 days of your build date unless held up by the client

Your payment terms listed below:

  • I want to proceed with this website package and agree to the payments I have chosen
  • I understand this is a minimum 24 month rental
  • I understand that the payments are ongoing
  • Future payments are non-refundable
  • All payments will be paid via GoCardless
  • If you miss a payment we have the right to hold the project without a refund
  • You will be held liable for the remainder of the 24 month term if you cancel early or stop paying
  • Your website and any assets we have created are the property of 9G
  • I understand that if any monthly payments are stopped or missed my website, related websites to me and any related email services will be suspended and there may be an additional fee to reinstate them
  • The complete website care plan recovery service is amended to 3 working days and not guaranteed to this time period

About your Solo Website

  • In most cases you won’t need a user login. If you do it will be an EDITOR role only so you won’t be able to change plugins or users
  • You cannot copy, extract or use wording that is similar to your Solo Website

Buy-out of your subscription

  • You can buy out of your subscription at any point for £1795+vat
  • A website care plan from £59.99+vat will be needed to keep the website running with us
  • If you want to move your website away from us after your buy-out we can provide a copy of your back-up. This doesn’t include any support to move your site
  • Migration work to move your website to another host if needed is £495+vat
  • You will not be eligible for a re-design offer after this or ongoing support

Mutual agreement

Between “us”, 9G Limited, and “YOU”, the client stated in the instructions and agreements

You are hiring 9G Limited located at Marlowe Innovation Centre, Marlowe Way, Ramsgate, Kent, CT12 6FA to design and develop a website solution as outlined in your SCOPE to be agreed on after stage 1 is finished and you have completed the foundations sessions.

01. Services Rendered

WordPress development

We’ll install WordPress on our server, set up the admin panel for you and then create a custom WordPress theme that will mirror the design we created for you.

You will be able to add new top level and secondary pages to the site navigation yourself in WordPress. We’ll also set up a blog for you to publish posts that will be displayed in a reverse chronological order with pagination.

WordPress plugins

Plugins are a way to extend the functionality of WordPress and make the admin panel easier to manage. We’ll install a limited number of plugins for launch, which will include a simplified way to manage the navigation, automatically backup the database monthly, SEO tools so you can manage the title and meta description tags, and an XML site-map generator which will help Google index your pages automatically.

QA testing

We’ll test the website in a variety of browsers, including Safari, Chrome, Firefox and Internet Explorer. We’ll also test the responsive design on multiple screen sizes. We’ll test the functionality of the site to ensure there are no errors or broken links and then hand it over to you for review.

You’ll have two rounds of minor revisions or tweaks to the sites, and then we’ll launch.

Launch

Once you’ve tested the website and are happy with its functionality, we’ll make the website live!

Warranty (if not a rental)

You will have a 30 day warranty period from date of launch allowing us to fix any display issues or errors that may occur. Changes or updates are not covered in the warranty. Any errors outside of this warranty are not covered unless you have a paid maintenance plan with us.

Mobile browser testing

Testing popular small-screen devices such as mobile phones and tablets is essential in ensuring that a user’s experience of a design is appropriate to the capabilities of the device they’re using.

Technical support

We’re not a website hosting company but we do provide hosting and domain registration for our clients as a managed solution.

Changes & revisions

We know from experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your earliest ideas. We don’t want to limit your ability to change your mind or make decisions later when you might be better informed. The price at the beginning of this contract is based on the length of time we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for to cover the additional work.

Errors

We can’t guarantee that our work will be error-free (we’re human!) so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them.

02. Mutual Cooperation

We agree to use our best efforts to fulfil and exceed your expectation on the deliverables listed above. You agree to aid us in doing so by making available to us needed information pertaining to your website and to cooperate with us in expediting the work.

03. Charges for services performed

Functionality or feature requests above and beyond those listed in the budget and/or the functionality specs may be considered out-of-scope and an amendment to the budget will be recommended. Projects that go dormant for longer than 45 days will incur a fee to resume work at the discretion of 9G Limited.

04. Terms of payment

Billing schedule

We’re sure you understand how important it is as a small business that you pay the invoices that we send you promptly. We’re also sure you’ll want to maintain a positive working relationship and keep the project moving forward, so you agree to stick tight to the payment schedule provided above.

Client agreement to pay

You agree to pay the SCHEDULE payment upon receipt of the full invoice which will act as a deposit for the project. Every invoice after that will have 7-day payment terms. In the event payment is not made within 7 days, 9G Limited reserves the right to stop work until payment is received. If no further payments are made 9G Limited reserves the right to close the project without refunding any past payments.

Collection costs

In the event that we incur legal fees, costs and disbursements in an effort to collect our invoices, in addition to interest on the unpaid balance, you agree to reimburse us for these expenses.

05. Cancellation of plans

You have the right to modify, reject, cancel or stop any and all plans or work in process. However, you agree to reimburse us for all costs and expenses we incurred prior to your change in instructions, and which relate to non-cancellable commitments, and to defend, indemnify and hold us harmless for any liability relating to such action. We agree to use our best efforts to minimise such costs and expenses.

06. Responsibilities of 9G Limited and YOU

Responsibilities for releases

We shall obtain releases, licenses, permits or other authorization to use testimonials, copyrighted materials, photographs, art work or any other property or rights belonging to third parties obtained by us for use in performing services for you (If applicable).

Client responsibility for releases

You guarantee that all elements of text, images, or other artwork you provide are either owned by your good selves, or that you have permission to use them.

Then when your final payment has cleared, copyright will be automatically assigned as follows:

You’ll own the visual elements that we create for this project. We’ll give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them.

Client responsibility for accuracy

You shall be responsible for the accuracy, completeness and propriety of information concerning your products and services which you furnish to us verbally or in writing in connection with the performance of this Agreement.

07. Confidentiality

9G Limited acknowledges its responsibility, both during and after the term of its appointment, to use all reasonable efforts to preserve the confidentiality of any proprietary or confidential information or data developed by 9G Limited on behalf of YOU or disclosed by YOU to 9G Limited.

08. Term and termination

Period of Agreement and Notice of Termination

This Agreement shall become effective as of the date of your purchase of this product and shall continue until terminated by either party upon not less than 60 days’ notice in writing given by either party to the other.

Termination for cause

Either party to this Agreement may terminate the Agreement if the other party defaults in the performance of any of its material duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default, or if the default is not reasonably curable within said period of time, unless the defaulting party commences cure within said period of time and diligently proceeds to cure the default.

In addition, either party may immediately terminate this Agreement by giving written notice to the other party if the other party is insolvent or has a petition brought by or against it under the insolvency laws of any jurisdiction, if the other party makes an assignment for the benefit of creditors, if a trustee, or similar agent is appointed with respect to any property or business of the other party, or in the case of the Client, if the Client materially breaches its obligations to make payment pursuant to this Agreement.

Payment for non-cancellable materials

Any non-cancellable materials, services, etc., we have properly committed ourselves to purchase for your account, (either specifically or as part of a plan such as modules, photography and/or external services) shall be paid for by you, in accordance with the provisions of this Agreement. We agree to use our best efforts to minimize such liabilities immediately upon written notification from you. We will provide written proof, upon request by YOU, that any such materials and services, are non-cancellable.

Materials unpaid for

If upon termination there exist any materials furnished by us or any services performed by us for which you have not paid us in full, until such time as you have paid us in full you agree not to use any such materials, in whole or in part, or the product of such services.

Transfer of materials

Upon termination of this agreement, provided that there is no outstanding indebtedness then owing by YOU to 9G Limited, 9G Limited shall transfer, assign and make available to YOU all property and materials in its possession or control belonging to YOU.

YOU agree to pay for all costs associated with the transfer of materials.

09. General provisions

Governing law

This Agreement shall be governed and construed in accordance with the laws of the United Kingdom.

Representations and warranties

The parties each individually represent and warrant that each has full power and authority to enter into this Agreement and to perform all of their obligations hereunder without violating the legal or equitable rights of any third party.

Entire agreement

Except as otherwise set forth or referred to in this Agreement, this Agreement constitutes the sole and entire Agreement and understanding between the parties hereto as to the subject matter hereof, and supersedes all prior discussions, agreements and understandings of every kind and nature between them as to such subject matter.

Severability

If any provision of this Agreement is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instance, this Agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions of this Agreement will remain in full force and effect.

Your Solo Website Agreement

Nearly there. The final bit is to read some important terms and understanding so the upcoming project is completely clear form both sides.

Standard website agreement terms

  • I understand that the content writing includes all of the website text in MOST cases
  • I understand that email may need to be provided by an IT contact and if 9G provides an email box the maximum storage limit is 2GB with no support if there are any issues
  • I also agree to your general terms listed on 9gwebsites.co.uk/terms
  • I know I can cancel this package 7 days after signing this agreement
  • I understand that 9G can’t guarantee any Google search engine rankings or results from this website
  • Website tasks will be scheduled in 3-5 working days into our workload
  • If your website has an issue we will aim to investigate within 24 hours if possible and schedule in your website fix according to your website care plan
  • Our website care plans support is only available during office hours and not during office closures

Moving your websites

You can host your website yourself if you wish but we do not provide any ongoing support for this.

  • We can provide a backup copy of your website at our current rate. No additional work is included.
  • We offer a migration service at our current rate if you want us to move your website to your own hosting environment. Technical specifications must be adequate.
  • I understand that you provide software licences that help my website run. Moving my website may result in limited functionality if I don’t pay to keep these running

Frequently Asked Questions

  1. Can you guarantee me results or Google rankings?
    We cannot guarantee any results, leads or search engine rankings just like any other type of advertising.
  2. Can you keep my existing website’s Google rankings?
    If you have an existing website we will put in place redirections from the old pages but we can’t guarantee any continuation of current ranking positions. Existing website Google rankings may fluctuate and we can’t guarantee any keyword rankings in Google.
    Generally a new website solution from us will improve your rankings.
  3. Will I own my website?
    You own the website after full payments to 9G (if not a rental). We will install the website onto your server after final payment. If you choose to change hosting from us we will release a full copy of the website and installation files from our server backup at our current rate (see our online terms)on request which you will need to reinstall yourself. There will be an admin fee for supplying this and no additional help installing from the backups unless you purchase a migration service.
  4. Do you provide user training?
    You can update your website yourself on request of a user login and additional training session of 60mins included if required. Additional content changes outside of your plan after website launch will be charged for at our current hourly rate.
  5. Will a website get me loads of new business?
    It will create an amount of new business and convert more local and referral leads but the answer to your prayers is not JUST a website. In order to create a stream of new leads you will need ongoing marketing that goes attracts your target audience.
  6. What is a SCOPE?
    A scope pdf shows the relationship of how all the different pages of a website are related to each other and some of the content that may be used. This is communicated visually through a SCOPE.
  7. Why do you use WordPress?
    WordPress is open source content management software and currently powers around 25% of all websites on the Internet. The project is contributed to by tens of thousands of developers all over the world and is growing from strength to strength. WordPress allows us to develop flexible and customisable websites to modern standards and observes web development best practices. Furthermore the community of web developers that use WordPress reaches far and wide and allows us to tap in to this collective intelligence and bring that wealth of experience to your project.
  8. Where is the website hosted?
    Your website needs to be hosted by a hosting company that specialises in premium secure WordPress hosting.
  9. Who do I call if something goes wrong with the website or I can’t figure something out?
    Provided you subscribe to one of our ongoing website care plans, we will be your first point of call should something go wrong with your website. We will determine whether it is something the hosting company needs to fix something that is covered by your website care plan. We will provide training to assist you in using your website once it is launched.
  10. What happens after the website is launched?
    Once your website is launched, we will provide support to make sure any bugs have been ironed out and that you are confident using your new website.
  11. How long will it take to appear at the top of Google?
    The time it takes for your website to appear on page 1 of Google depends on a number of factors. We generally let the dust settle for a few months and then review your website rankings. This needs to have been discussed before launch. It depends on the search phrase people are using to find your website and the number of other websites that are also available for those search phrases.

    Nobody can truly say how long it will take for your website to appear at the top of search engine results pages (including people who actually work for Google), however there are a number of factors that can improve your chances. Building your website on WordPress is a good start as WordPress has some great Search Engine Optimisation fundamentals built-in. Creating unique and interesting content on a regular basis for your website is also critical to increase your visibility amongst search engines.

  12. How will I know if anyone is visiting my website?
    We will install Google analytics software on your new website. This will allow you to see a wide range of statistics about your website including number of visits, page views than the amount of time people are spending on your website. You will need to setup a Google analytics account and request connection to this or we can setup a MUCH simpler web stats dashboard for you for an additional amount.
  13. What happens if I want to add some features to the website while you’re building it?
    Whilst we like to be flexible and responsive to your needs, we also like to deliver what we promise within the time frames and budgets we have allowed. If you ask us to add new features to your website while we are building it, will most likely ask why? If we all agree that your new request will help us achieve our objectives then we will be more than happy to oblige.

If your new feature is something you would like to add to your website but is not directly tied to your original objectives then we will suggest to schedule it for a second iteration of the website once it has been launched. This will require a new proposal.
